These Terms of Service (the "Terms") govern your access to and use of Inforapenny (the "Site"), an editorial publication that covers initial public offerings and Form S-1 filings made with the U.S. Securities and Exchange Commission. By accessing the Site or subscribing to the newsletter, you agree to these Terms. If you do not agree, do not use the Site.

1. What Inforapenny is

Inforapenny publishes short editorial write-ups (typically a four-to-five minute read) about companies that have filed a registration statement with the SEC. Every claim in each post is tied by inline citation to a public disclosure or a verified supporting source. Posts are educational and journalistic in nature.

2. Not investment, legal, tax, or financial advice

Nothing on the Site or in the newsletter constitutes investment advice, a recommendation to buy or sell any security, a solicitation of any offer to buy or sell any security, or a recommendation of any investment strategy. Inforapenny is not a registered investment adviser, broker-dealer, or financial planner. Inforapenny does not provide personalized advice, and no relationship of any kind is formed by your reading or subscribing.

Investing in initial public offerings, newly public companies, or any security carries substantial risk, including the risk of losing your entire investment. You are solely responsible for your own investment decisions and should consult a licensed professional before acting on anything you read here.

3. Accuracy and no warranty

Inforapenny relies on primary source documents, principally the filings companies make with the SEC. Those documents can be amended, restated, or superseded, and Inforapenny does not undertake any obligation to update posts as circumstances change. The Site is provided "as is" and "as available" without warranty of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy.

4. Intellectual property

All editorial content on the Site (headlines, article text, layout, images generated for social sharing, code) is the property of Inforapenny, is protected by copyright, and may not be reproduced, distributed, or used to train machine learning models without prior written permission. Quoted excerpts of SEC filings are, and remain, in the public domain; the surrounding editorial framing is not.

You may share individual article URLs, quote short excerpts with attribution and a link back to the original post, and forward the newsletter to individuals for personal, non-commercial use.

5. Acceptable use

You agree not to (a) scrape, spider, or use automated means to access the Site other than for the ordinary operation of a search-engine crawler that respects robots.txt; (b) mirror or republish substantial portions of the Site's content; (c) reverse engineer any part of the Site; (d) use the Site or the newsletter to distribute spam, unsolicited communications, or malware; or (e) use the Site in violation of any applicable law.

6. Newsletter and subscription

Subscribing to the newsletter is voluntary and free. By submitting your email address, you consent to receive editorial newsletters from Inforapenny. Every newsletter includes an unsubscribe link, and you may unsubscribe at any time. If you unsubscribe, we retain only the minimum data needed to avoid re-adding you to the list.

7. Third-party links

Posts frequently link to sec.gov and other third-party sites for source verification. Inforapenny does not control those sites and is not responsible for their content, availability, or policies. Following any external link is at your own discretion.

8. Limitation of liability

To the maximum extent permitted by law, Inforapenny and its contributors will not be liable for any indirect, incidental, consequential, special, or exemplary damages, including any lost profits, lost data, or investment losses, arising out of or in connection with your use of the Site, even if advised of the possibility of such damages. Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above may not apply to you.

9. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the Site will be resolved exclusively in the state or federal courts located in Delaware, and you consent to that jurisdiction.

10. Changes to these Terms

Inforapenny may update these Terms from time to time. If the changes are material, we will note the update at the top of this page and, where reasonable, in the newsletter. Continued use of the Site after an update constitutes acceptance of the revised Terms.
